FSD Africa Supplier and Grantee Code of Conduct

The FSD Africa Supplier and Grantee Code of Conduct establishes ethical, environmental, and social standards for all entities providing goods or services to FSD Africa. The document defines a tiered compliance system based on contract value, with more stringent requirements and monitoring for higher-value partners, focusing on value for money, human rights, and climate risk management.

• FSD Africa implements a two-tiered compliance structure based on the value of contracts or grants. Level 1 applies to those with a contract or grant value of £500,001 or above, or multiple contracts totaling that amount. Level 2 applies to those with a value below £500,000, including all individual consultants, who are expected to adhere to overarching principles but are not monitored against the Code.
• Level 1 Suppliers and Grantees are subject to specific governance and ethical requirements, including the necessity of having approved HR policies, a functional whistleblowing policy with an active hotline, and mandatory ethical business training for all staff members.
• The Code mandates that all partners comply with environmental laws and high environmental standards. Level 1 partners must specifically adopt robust net-zero policies and integrate climate change risk considerations into their governance and disclosure frameworks, such as ISSB or CDP.
• FSD Africa requires strict adherence to human rights and safeguarding standards, with a particular focus on fragile and conflict-affected states (FCAS). Level 1 partners must be UN Global Compact participants and ensure their downstream contracts include anti-slavery and human trafficking provisions at least as strict as those in their own agreement with FSD Africa.
• To support micro, small and medium-sized enterprises (MSMEs), Level 1 partners are required to pay 100% of all undisputed and valid invoices from MSMEs within 30 days and are prohibited from using restrictive exclusivity agreements with sub-contractors.
• All partners must implement due diligence to prevent money laundering and terrorist financing, specifically citing compliance with the Anti-Money Laundering and Combating of Terrorism Financing Laws (Amendment) Act 2023 of Kenya. Level 1 partners must also secure IT and mobile systems according to the Cyber Essentials Scheme or an equivalent.
• Level 1 Suppliers and Grantees with multi-year contracts are required to submit an annual Compliance Declaration and checklist to FSD Africa within three months of the end of their financial year, which may be subject to spot check monitoring.
