This document outlines the Terms of Reference for the Sustainable Energy for All (SEforALL) Funders’ Council, a consultative body established to facilitate dialogue and collaboration between SEforALL's donors, the organization's CEO, and its Administrative Board.

• The Funders’ Council serves as a consultative body that provides advice and recommendations to the CEO and the Administrative Board. Its primary objectives include facilitating exchange regarding SEforALL's resource mobilization strategy, strategic direction and positioning, and the review of annual work plans and audited accounts.
• Automatic membership in the Funders’ Council is granted to the host country government of SEforALL’s Headquarters and to donors meeting specific financial thresholds: at least USD 1,000,000 in programme (restricted or earmarked) funding or USD 500,000 in core (unrestricted or voluntary) funding.
• The Funders’ Council is led by a Chair nominated from among its members and appointed by a two-thirds majority for a two-year term. The Chair automatically becomes a member of the Administrative Board, acting as an agent to represent the interests of the Funders’ Council.
• The Council's operational schedule requires meetings at least quarterly via video, with an annual in-person meeting typically held in the second quarter. Additionally, the Council meets with the Administrative Board once per year, preferably in person.
