SUSTAINABLE ENERGY FOR ALL ADMINISTRATIVE BOARD - RULES OF PROCEDURE (BYLAWS)

The Sustainable Energy for All (SEforALL) Administrative Board Rules of Procedure (By-laws), revised in October 2017, establish the governance framework for the Administrative Board, including its composition, appointment processes, and responsibilities in managing SEforALL's operations.

• The Administrative Board is responsible for leading SEforALL, managing its operations according to applicable law and organization statutes, and appointing the Chief Executive Officer.
• The Administrative Board consists of between five and thirteen members, which includes the Chief Executive Officer as an ex officio member. Members are appointed for three-year terms and may be reappointed once, for a total maximum of six consecutive years.
• The Chair and Vice-Chair of the Administrative Board are appointed by members via a two-thirds majority vote for three-year terms, with a maximum of one reappointment for a total of six consecutive years.
• The Administrative Board is tasked with appointing an Auditor who must be free of conflicts of interest and approving the SEforALL Business Plan and budget annually toward the end of each fiscal year.
• The governance hierarchy dictates that Austrian law takes precedence over the SEforALL Statutes, and the Statutes take precedence over these By-laws.
