CONCESSION AGREEMENT TEMPLATE

• The template is designed to provide a standardized framework for Mini-Grid transaction models, allowing a Concession Holder to design, construct, operate, and maintain assets and sell electricity services within a defined Concession Area.
• The document specifies that the template is flexible and can be adapted to different contexts, including the possibility of treating it as a Lease Agreement by modifying terminology and adding a lease compensation component.
• The Concession Holder is granted exclusive rights to use the Concession Area and assets, with obligations to obtain necessary permits, maintain assets at their own expense, and comply with environmental standards and performance indicators.
• The Conceding Authority retains ownership of all materials and equipment, including the Mini-Grid Facility, and holds the right to monitor activities, collect data, and impose penalties for failure to meet service quality or maintenance obligations.
• The agreement outlines specific procedures for termination, including Ordinary Termination on the Expiry Date and Extraordinary Termination due to material breach, Force Majeure, or the arrival of the main grid.
• A detailed compensation framework is provided for various termination scenarios. For Ordinary Termination, the Conceding Authority pays the depreciated value of assets. For Extraordinary Termination due to the Authority's breach or Force Majeure, compensation may include depreciated asset value minus outstanding debts, breakage costs, redundancy costs, and lost revenues.
