Synthesis of Major Concerns

A fact sheet from the Center for International Environmental Law detailing concerns regarding foreign direct investment (FDI), investment rules, and investor-state arbitration, specifically in the context of the Americas Trade and Sustainable Development Forum.

• While foreign direct investment (FDI) can potentially foster economic development through technology transfer and increased employment, studies by the World Bank and UNCTAD suggest that investment agreements do not actually help attract FDI. Instead, FDI decisions are driven by factors such as macroeconomic stability, physical infrastructure, domestic market size, and proximity to the home state.
• Investment rules are criticized for being uni-directional and unbalanced, as they establish rights for investors without imposing corresponding obligations for responsible conduct. These rules can undermine public interest regulations concerning health, safety, and the environment, and they create a preferential competitive advantage for foreign investors over local ones.
• Investor-state arbitration creates significant financial burdens for governments through high transaction costs—often exceeding one million dollars per case—and massive potential liabilities. Examples include Argentina facing 17 billion dollars in potential liability, the United States facing a 1 billion dollar claim in a single case, and the Czech Republic being ordered to pay 1/3 billion dollars.
• The legitimacy of investment arbitration is questioned because disputes are decided by practicing commercial lawyers rather than impartial courts, and the process lacks sufficient transparency. Furthermore, allowing investors to bypass the exhaustion of local remedies may hinder the institutional development of local judiciaries.
